1. Introduction:

1.1. Please read these Terms of Use (“Agreement”or “Terms” or “T&C”) and our privacy policy carefully before using the website located at https://www.thehostbridge.com (the “website”). This T&C represents an agreement between:

Hostbridge Technologies (herein referred to as “Hostbridge” or “We” or “Us” which expression shall, where the context so admits, include its legal representatives and assigns).

1.2. These terms are important because they contain general rules which govern your use of Hostbridge website and all services provided by us on the site (collectively, the “Platform”). It outline important information about your legal rights and obligations and defines the limitations and exclusions that may apply to you as a user or the person accessing the services.

Hostbridge is a Pan-African online events platform that connect event organizers to the right resources to plan an host any type of event without stress. Our mission is to empower organizers, entertainers and event businesses in Africa to connect and create memorable events and experiences. 3. Our Services and Users of the Services

Through our online platform, Hostbridge offers an innovative marketplace for entertainers, professionals and vendors in the African events industry to connect with event organizers. Users of our Services include individuals or organizations hosting various types of events (collectively, “Clients”), and Entertainers, MCs, Venue Hosts, Service Providers and other third party vendors offering products and services related to the event industry (collectively, “Professionals”) (all of the foregoing, including clientss and Professionals, are referred to collectively, herein as “Users”). Certain areas of the Services may provide a place for clients to interact with and book services that a professional offers.Hostbridge also allows event organizers to create and publish events whether free or paid and sell tickets to attendees.
While accessing the website is free, you will be required to sign up/log in to use certain Services. Through the sign up/log in process, you will be asked to provide personal details about yourself (such as name, address, email address and other contact details) as well as other basic information about your business and the brand name under which you do business. You agree that all information provided is done so at your own discretion and that you are not obligated to use the Services or provide any particular piece of information. However, you agree that any information you give to us will always be accurate, correct and up to date.

3.1. Planning an event:
The Hostbridge platform allows users to connect to third-parties to plan Events. Users control the availability, quality, and terms of their Listings, Entertainment Services, and Vendor Services. It is your responsibility to evaluate each Venue, Entertainer and Vendor with whom you choose to contract, communicate, or otherwise interact. Hostbridge is not responsible for the content posted by our users, nor are we responsible for the quality of Venues, Entertainment, or Vendor Services offered. We do not make any representations or warranties as to the conduct of Users or their interactions with any current or future Users, or assume any responsibility for the confirmation of any user’s identity, however, notwithstanding the foregoing, and as permitted by applicable laws, we may, but have no obligation to, take efforts to verify the identity of users and/or screen them against public and private databases for the purposes of preventing fraud and providing a safe transacting community.

3.2. Bookings:
When Users enter into bookings with one another (e.g. when an entertainer or vendor confirms a booking request from a client or enables a booking without prior approval, or when a client books vendor services for an event), they enter into a contract directly with one another. Any agreement you enter into with a client, host, or vendor is between you and the applicable party. Hostbridge is not a party to any such contract. You understand and agree that Hostbridge is not acting as an agent for any user, except as specified in Article 12. section our terms of use (Appointment of Hostbridge as a Limited Collection Agent). Users are prohibited from using the Hostbridge platform to facilitate contracts outside of the Platform.

4. Your Acceptance of the Terms

To use our services, you must first accept these Terms in their entirety. You acknowledge and agree to be bound by these Terms and our Privacy Policy. These T&C applies to all end users of the site including without limitations the end users who are customers, entertainers, vendors, contributors of content, information and any other materials or services on the site. If you do not agree to these Terms and the Privacy Policy please do not use or access the website or services.

By accessing, or using the website or service in any manner, including but not limited to browsing. (I) By clicking on the “I accept” or “I agree” button where this option is made available for you; or (II) By actually signing up and completing the registration process, and/or downloading the app, in order the services on our site. Also, “you” or the “user” acknowledge (1) that you are of legal age to form a binding contract with the company, and (2) you have the authority to enter into the terms and conditions personally or on behalf of the that agency, business and organization that you are representing in subscribing to the services.

Notwithstanding any such agency relationship, you also agree to be bound personally by these Terms and Conditions. At some point, different areas of the Services, and your access to, or use of certain Services or Content may have different terms and conditions or may require you to agree with and accept additional terms and conditions. If there is a conflict between these Terms and the terms posted for a specific area of the Services or Site Content, the latter terms and conditions will take precedence with respect to your use of or access to that area of the Services or Site Content.

5. Changes to these Terms

Occasionally, Hostbridge reserves the right in its sole discretion to change, modify, add or remove portions of these Terms and Conditions of Use at any time. Any change in these Terms is effective immediately. Please know that it is your responsibility to check the terms periodically because your continued use of the Site shall constitute your agreement to be bound by the modified Terms. In some cases, we will notify you in advance and your continued use of the site and services constitute your acknowledgement and acceptance of those revised Terms and conditions of Use. When we make material changes to the Terms, we will notify you as appropriate under the circumstances, e.g, by sending you an email or displaying a notice within the service.

6. Membership Accounts and Registration

6.1 Age and Eligibility:Hostbridge’s services are only available to business entities and individuals at least 18 years of age. You also acknowledge that you are of legal age to form a binding contract under applicable law. Hostbridge may, in its sole discretion, refuse to offer access to or use of the Site to any person or entity and may change its eligibility criteria at any time without notice to you. This provision is void where prohibited by law and the right to access the Site is revoked in such jurisdictions.

6.2 Compliance with Local Laws:You agree to comply with all local laws regarding online conduct and acceptable content. You are responsible for all applicable taxes payable as a result of your activity on the Site. In addition, you agree to abide by the policies of Hostbridge as stated in this Agreement and listed below (if applicable to your activities on or use of the Site) as well as all other operating rules, policies and procedures that may be published from time to time on the Site by Hostbridge, each of which may be updated by Hostbridge from time to time without notice to you.

6.3 Account Information:When you sign up to create an account with Hostbridge, you must provide us information that is accurate, truthful, complete, and current at all times. Failure to do so constitutes a breach of these terms, which may result in immediate termination of your account on our platform. You must keep your account information up-to-date and accurate at all times, including a valid email and address. You agree that all information you provide to sign up and use the Hostbridge service is subject to our terms and Privacy Policy. You also consent to all actions we take with respect to your information consistent with our Privacy Policy. Please review our Privacy Policy to understand our practices.

6.4 Password and Security:You are responsible for safeguarding the password that you use to access the Services and you agree not to disclose your password to any third party. You are responsible for any activity using your account, whether or not you authorized that activity. You should immediately notify Hostbridge of any unauthorized use of your account.

6.5 Account Transfer:You may not transfer or sell your Hostbridge account to another party. If you are registering as a business entity, you personally guarantee that you have the authority to bind the entity to this Agreement.

6.6 Account Ownership:Hostbridge members may only hold and operate one active account at any one time and the account must only be operated by the named account holder. If a secondary account is required then the member must request prior written permission from Hostbridge. Hostbridge reserves the right to reject any such request and may, at its discretion, terminate additional accounts or accounts being operated by a person other than the named account holder without prior warning.

7. Right to Modify Information and Restrict Access:

Hostbridge reserves the exclusive right to monitor your use of the Website from time to time, as well the right to remove or refuse to post any information or content for any reason. You agree that Hostbridge shall not be liable to you or to any third party for any (a) removal of, or refusal to post, any information or content from or to the Website or (b) modification, suspension, discontinuation or termination of the Website or your access thereto. Hostbridge also reserves the right to terminate or suspend your access to all or any portion of the Website, without notice, if it believes that your use of the website may (i) violate applicable law or these General Terms or (ii) harm Hostbridge's interests or the interests, including intellectual property or other rights, of another person or entity.

8. Non-Discrimination Policy:

Hostbridge is an inclusive platform and we make efforts to make everyone to feel comfortable using our Site and Services. Therefore, we do not allow discrimination against other users of the Site, or Hostbridge team members, based on race, color, ethnicity, national origin, religion, sexual orientation, gender identity, marital or pregnancy status, age, disability, or any other characteristic protected under applicable federal, regional, state, or local law. This includes, but is not limited to, refusing to provide or accept services, posting discriminatory content on the Site, or any other conduct that improperly takes into account these characteristics.
If you believe you’ve been discriminated against on our Site, please contact us. Failure to comply with this non-discrimination policy may result in immediate suspension or termination of your right to use the Services without a refund.

9. Hostbridge Platform Code of Conduct:

As a user, you agree not to misuse the Hostbridge services. You are prohibited from doing, either personally or through an agent, any of the following:

“crawling” the Hostbridge service or otherwise using any device or automated means (including bots, scrapers and spiders to view, access or collect information from Hostbridge users or the Hostbridge service.
Breaching or otherwise circumventing any security or authentication measures;
Accessing, tampering with, or using non-public areas of the Service, which you have not been invited to by Hostbridge computer systems.
Transmitting, installing, uploading or otherwise transferring any malware or other item to the site that in any way affects the service and the enjoyment of the site by users.
Interfering with or disrupting any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services;
Planting malware or otherwise using the Services to distribute malware;
Accessing or search the Services by any means other than our publicly supported interfaces (for example, "scraping");
Sending unsolicited communications, promotions or advertisements, or spam; sending altered, deceptive or false source-identifying information, including "spoofing" or "phishing";
Publishing anything that is fraudulent, misleading, or infringes another's rights; promoting or advertising products or services other than your own without appropriate authorization;
Impersonating or misrepresenting your affiliation with any person or entity;
Publishing or sharing materials that are unlawfully pornographic or indecent, or that advocate bigotry, religious, racial or ethnic hatred;
Violating the law in any way, or violating the privacy of others, or defaming others.
Post any material on the site that is offensive to any other User. Hostbridge maintains the exclusive right to determine what is offensive.
Posting or storing on the site any content that violates or infringes the intellectual property rights of others (including but not limited to copyrights, trademarks, trade secrets, patents and publicity rights).
Modifying the information, including headers, found on the site.
Transmitting, installing, uploading or otherwise transferring to the site any unauthorized advertising or communication.
Engaging in any action which Hostbridge determines is detrimental to the use and enjoyment of the site.

10. Specific Booking Terms for Clients

As a client, you acknowledge that while we try to help verify the identity of professionals when they sign up on our platform, we cannot and will not guarantee each professional’s identity, capabilities, that it has obtained all required permits, licenses or consents, or that it complies with all applicable laws.

Any booking made verbally, electronically or in writing will be a legally binding contract subject to the following non-negotiable terms and conditions of booking:

10.1. Booking Confirmations:
By sending a Booking Request, the Client is entering into a legally binding contract with the Venue, Entertainer or Vendor, in which the Client is committed to carrying out the booking.
Once the deposit has been made, the booking is known as “secured” and a confirmation email will be sent to you to that effect.
Clients should ensure that they have made prior communications either through Hostbridge Customer support or directly with the entertainers or service providers about their availability to provide the service on the day of the event.

10.2. Off-site payment:

Though most booking payments take place through our payment providers system, Clients can choose to pay vendors and entertainers using off-site methods such as cash or cheque before the day of the event.
If the Client chooses to pay vendors, venue hosts, and entertainers off the site, they are responsible for ensuring that these vendors, venue hosts, and entertainers are aware of the payment method they have chosen.
Off-site payments cannot be protected by the Hostbridge Cancellation Policy.

10.3. Booking Modifications
If a Client needs to make changes to the details of the booking before the booking has been secured, this must be done using the Hostbridge site or through the Hostbridge Customer service to make on their behalf and must be accepted by both parties before the booking is confirmed. The client also agrees to pay any additional amounts, fees, or taxes associated with any booking modification.

11. Specific Terms for Venue Hosts, MCs, Entertainers and Service Vendors

As an MC, Entertainer, Venue Host, Vendor or Service provider, you acknowledge that your membership or subscription to our Services may not be transferred or sold to another party. When signing up, you must list the true and correct name and details of your business on the services. You also agree to update the services in case of any change in your business such as business name, address, contact details etc.

11.1. Creating and Managing Your Listing.
The Hostbridge Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your service, your price, other charges like tax, cleaning fees, and any rules or requirements that apply to your Clients or Listing. You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your Services. You may only maintain one Listing per service, but may have multiple Listings for different categories provided that it has no duplicate on our system.

11.2. Your Responsibilities as a Professional
I. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your services.
II. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Hostbridge Platform.
III. Do not encourage clients to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Hostbridge Platform.
IV. You are responsible for confirming venue availability and/or your availability to render the requested service on the event date upon the receipt of a booking request.
V. You are solely liable for refunds or charge-backs related to clients’ payments for bookings after deposit has been made by Hostbridge to your account.
VI. You should endeavor to notify Hostbridge as soon as possible in case of changes on their rates, temporary or permanent shutdown, change in business location etc.
VII. After a booking has been made secured, you are responsible for providing adequate and satisfactory service to clients prior to their events, on the events day and after the events.

12 Appointment of Hostbridge as a Limited Collection Agent.

Each user (such as Venue Hosts, Event Vendors, Entertainers or Clients who facilitate certain transactions through our Platform) who collects payment for services provided via the Platform (“Collecting User”) hereby appoints Hostbridge as the Collecting User’s payment collection agent solely for the limited purpose of accepting funds from other users purchasing such services (“Paying User”).
Each Paying User acknowledges and agrees that, notwithstanding the fact that Hostbridge is not a party to the agreement between the Paying User and the Collecting User, Hostbridge acts as the Collecting User’s payment collection agent for the limited purpose of accepting payments from the Paying User on behalf of the Collecting User. Once a Paying User makes payment of funds to Hostbridge, the Paying User’s payment obligation to the Collecting User for the agreed upon amount is extinguished, and Hostbridge is responsible for remitting the funds to the Collecting User in the manner described in this agreement, which constitutes Hostbridge’s agreement with the Collecting User. In the event that Hostbridge does not remit any funds, the Collecting User will have recourse only against Hostbridge and not the Paying User directly.
Each Collecting User agrees that payment made by a Paying User through Hostbridge shall be considered the same as a payment made directly to the Collecting User. The Collecting User will provide the purchased services to the Paying User in the agreed-upon manner as if the Collecting User has received the payment directly from the Paying User. Each Collecting User agrees that Hostbridge may refund the Paying User in accordance with this agreement (including all applicable terms referenced herein) and each Collecting User understands that Hostbridge’s obligation to pay the Collecting User is subject to and conditional upon successful receipt of the associated payments from Paying User. Hostbridge shall be obligated to make payments to Collecting User only for such amounts that have been actually received by Hostbridge from Paying User in accordance with this agreement. In accepting appointment as the limited payment collection agent of the Collecting User, Hostbridge assumes no liability for any acts or omissions of the Collecting User.

13. Disintermediation, Circumvention and Fee Avoidance:

By successfully making a booking through Hostbridge and benefiting from the services of the Hostbridge platform, Clients agree not to take bookings originating on Hostbridge outside of the platform or use the service to generate further bookings outside of the platform.
The price stated in each booking Listing, enquiry or application description must be an accurate representation of the sale. Members may not alter prices to avoid fees in any way. You may not alter the booking price after a sale for the purpose of avoiding Hostbridge transaction fees, misrepresent the event’s location, or use another user's account without permission. You may not artificially adjust expenses on the booking to alter Hostbridge’s fee. Venue Hosts, Entertainers and service vendors may not encourage clients to purchase services listed on Hostbridge outside of the Hostbridge site, such as directly through their own website. This is against our terms and also constitutes fee avoidance. Clients who do may be banned from using Hostbridge in future.

14. No show policy

A “no show” is when an Entertainer or vendor does not let Hostbridge know that they do not intend to carry out a booking or lets Hostbridge know they wish to cancel less than 48 hours before the job start time, meaning that Hostbridge may not have sufficient time to find a replacement vendor or entertainer. If an entertainer or vendor “no shows”, any deposit they have received must be immediately refunded to the Client.If an entertainer or vendor “no shows”, Hostbridge reserves the right to remove them from the platform and charge reasonable compensation should they wish to regain access to the platform.
This policy will not apply to instances when the Entertainer or vendor is unable to perform due to events of force majeure.

15 Force Majeure.

Hostbridge shall not be liable for any delay or failure to perform or provide service resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

16 Your Assumption of Risk

You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of the Hostbridge Platform and any Content, including the entertainers performance and the quality of services from vendors at your event. We therefore recommend that you always exercise due diligence and care when deciding whether to book a venue, entertainer or service provider or to accept a booking request from a Client, or to have any other interaction with any other Member. We are not responsible for any damage or harm resulting from your interactions with other Members whether in person or online. By using the Site, Application or Services, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused you harm. You agree not to attempt to impose liability on or seek any legal remedy from Hostbridge.

17 Overview of Dispute Resolution among users:

Hostbridge is committed to participating in a consumer-friendly dispute resolution process between users. However, Hostbridge but does not become a party to any contract by doing so. If a dispute arises as a result of a booking, the client must register the dispute by contacting Hostbridge as soon as possible at [email protected]. Registering a dispute will freeze any payment transactions for a window of up to 7 days during which Hostbridge will request both parties (the client and the service provider) to provide evidence in a bid to resolve the dispute.
You accept that Hostbridge is not responsible to you or any third party for providing, or for the condition or nature of, any Venue, Entertainment, or Vendor Services. Venue Hosts, Entertainers, and Service vendors are independent third-parties and are not affiliated, controlled by, or employed by Hostbridge. By accepting a booking through Hostbridge all Venue Hosts, Entertainers, and Service vendors agree to adhere to the Hostbridge Code of Conduct. Venue Hosts, Entertainers, and Service vendors set their own prices, use their own facilities and resources, and may apply conditions of use to venues, Entertainment or Vendor Services as they feel is appropriate for their business. Venue Hosts, Entertainers, agencies, and Service vendors are solely responsible for their interactions with each other, and any other parties with whom they interact. Hostbridge reserves the right, but has no obligation, to intercede in disputes. Users agree that Hostbridge will not be responsible for any liability incurred as the result of such interactions.

18 Arbitration Clause

These Terms and any disputes related to them or to your use of the Services will be governed by the laws of the Nigeria without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods will not apply in any way to these Terms or to the transactions contemplated by these Terms.
The exclusive jurisdiction and space of any action to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights IP Disputes will be the state and federal courts located in Akwa Ibom state, Nigeria and each of the parties hereto waives any objection to jurisdiction and space in such courts.
You and Hostbridge agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, “Disputes”) will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights.
YOU ACKNOWLEDGE AND AGREE THAT YOU AND HOSTBRIDGE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE. ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

19 Communication with Hostbridge:

You agree that Hostbridge reserves the right to contact you from time to time for information about the Services, including for marketing purposes, booking requests, feedback and reviews regarding the venues, the services of vendors, entertainers, and/ or for service and support related issues. We reserve the right to contact you through phone call, email and text messages, or notices posted on the Website or in your Account. You understand that you are not required to provide consent to receive marketing communications as a condition of purchasing any goods or services, and you may opt out of those marketing communications at any time.
You specifically consent to receive communications related to your Account through emails, text messages, SMS, or other communications sent to your mobile device (“Mobile Notifications”) solely to enable Hostbridge or other users to fulfill their contractual obligations. Standard mobile rates will apply for any Mobile Notifications you receive. You may stop receiving these Mobile Notifications at any point by following the instructions included in a message. However, if you do so, you may miss critical messages related to your Account. We are not responsible for and disclaim all liability for all harm or losses caused by disabling Mobile Notifications. Notices will be deemed effective at the time they are sent by Hostbridge or as of the date they are posted, regardless of whether you actually read any such notices.

20 Reviews and Testimonials

At Hostbridge, we encourage reviews and testimonials that are trustworthy, unbiased, and transparent. Such reviews or testimonials should be objective and accurate with relevant information that will enlighten other users to make better booking decisions. Reviews that are unrelated to an experience with a Speaker, Venue, Entertainer, Event Professional or Service Provider are subject to removal. As a Professional, you are not permitted to use threats, incentives or any form of manipulation or influence to get a positive review or testimonial. It is also important to know that we do not permit individuals or entities who own or are affiliated with a listing to post reviews or testimonials of their business. Similarly Hostbridge does not permit individuals who offer competing listings to post reviews or testimonials of their direct competitors. To maintain the standard of reviews, we recommend that you avoid comments:

That is off-topic and unrelated to the addressed listing on Hostbridge.
That contains profanity or defames the character and personality of a person.
That attacks a person’s background, religious, political or social affiliations.

When we receive a report of any violation of these policies, such reviews or testimonials will be removed. Repeated violations will lead to the termination of the defaulting account from our service.

21 Feedback and Idea Submission

We welcome feedback, comments and suggestions for improvements our services and you can submit your feedback by emailing us at [email protected] In any instance that you provide Hostbridge with any feedback or suggestions regarding the website, or Service, you hereby assign all rights in the Feedback to Hostbridge and agree that Hostbridge shall have the right to use such Feedback and related information in any manner it deems appropriate without any right to any compensation. Hostbridge will treat any Feedback you provide (for example to customer support) as non-confidential and non-proprietary. You agree that you will not submit to Hostbridge any information or ideas that you consider to be confidential or proprietary.

22 Promotional Services

29 Term and Termination

The Agreements will continue to apply to you until terminated by either you or Hostbridge. However, you acknowledge and agree that the perpetual license granted by you in relation to User Content, including Feedback, is irrevocable and will therefore continue after expiry or termination of any of the Agreements for any reason. Hostbridge may terminate the Agreements or suspend your access to the Hostbridge Service at any time at its discretion, including in the event of your actual or suspected unauthorized use of the Hostbridge Service and/or Content, or non-compliance with the Agreements, or if we withdraw Services and/or Content (in which case we shall provide you with reasonable notice in advance of doing so). If you or Hostbridge terminate the Agreements, or if Hostbridge suspends your access to the Hostbridge Service, you agree that Hostbridge shall have no liability or responsibility to you. This section will be enforced to the extent permissible by applicable law.

30 Governing Law

These terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
These Terms of Use constitute the entire agreement between Hostbridge and all end users regarding the subject matter hereof. Any previous agreement, whether oral or written, between Hostbridge and end users dealing with the subject matter hereof is superseded. Failure of Hostbridge to exercise any remedy or enforce any portion of this Agreement at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of the Agreement at any time thereafter. If any portion of this Terms of Use Agreement is found to be invalid or unenforceable for any reason by a court, such portion will be deemed severed and will not affect the enforceability of the remaining terms. Upon User’s breach of these Terms of Use, Hostbridge may pursue any legal or equitable remedy available, including but not limited to, direct, consequential and punitive damages and injunctive relief.
